Foxhead is a business support and growth services provider that helps early-stage startups and businesses manage operations, workflows, automation, and administrative functions without hiring full-time staff. Foxhead is not a legal, financial, or accounting firm unless explicitly stated in a written agreement.
2. Scope of Services
Foxhead operates as a virtual business operations partner for startups and small businesses. Our role is execution-focused and system-driven.
Key clarifications:
Foxhead does not replace founders or decision-makers
Strategic decisions, approvals, and legal responsibility remain with the client
Foxhead executes tasks based on client approvals, documented processes, or written instructions
Services may evolve as the client scales, and Foxhead reserves the right to recommend changes to tools, workflows, or processes for efficiency.
3. Client Responsibilities
Clients acknowledge that Foxhead’s performance depends on timely access, approvals, and communication.
Clients must:
Assign a single point of contact for decisions
Provide access to required tools, platforms, and data
Approve workflows, automations, and reports in writing
Take full responsibility for final business decisions and outcomes
Failure to meet these responsibilities may impact delivery timelines or results.
4. Payments and Fees
Fees will be communicated in advance through a proposal, invoice, or agreement
All payments must be made within the agreed payment period
Late payments may result in service suspension or termination
Payments once made are non-refundable unless explicitly stated otherwise in writing
Foxhead reserves the right to revise pricing with prior notice.
5. Confidentiality
Both parties agree to maintain confidentiality of all non-public business, technical, or financial information shared during the engagement. Confidential information shall not be disclosed to third parties without prior written consent, except where required by law.
This obligation survives termination of services.
6. Data Protection and Security
Foxhead takes reasonable measures to protect client data. However, Foxhead does not guarantee absolute security and shall not be liable for breaches beyond its reasonable control.
Clients remain the owners of their data and are responsible for compliance with applicable data protection laws.
7. Intellectual Property
Any tools, frameworks, processes, or materials developed by Foxhead remain Foxhead’s intellectual property unless otherwise agreed in writing
Clients retain ownership of their pre-existing intellectual property
Foxhead may showcase non-confidential work for portfolio or marketing purposes unless the client requests otherwise in writing
8. Third-Party Tools and Services
Foxhead may integrate or recommend third-party tools, platforms, or software. Foxhead is not responsible for the performance, availability, or policies of third-party services.
Clients are responsible for complying with third-party terms and licensing requirements.
9. Limitation of Liability
Foxhead operates on a best-effort execution model.
Foxhead is not liable for business losses, missed opportunities, or automation errors caused by third-party tools, incorrect inputs, or delayed approvals
No guarantees are made regarding revenue growth, funding, customer acquisition, or operational success
Liability, if any, is strictly limited to fees paid in the last three (3) months
Clients accept that startups inherently involve risk and uncertainty.
10. Termination
Either party may terminate services:
With written notice as defined in the agreement
Immediately in case of breach of these Terms
Upon termination, outstanding payments become immediately due, and access to services may be revoked.
11. Independent Contractor & No Control
Foxhead acts solely as an independent contractor. Foxhead does not control client employees, founders, or internal teams, nor does it assume employer responsibilities.
Foxhead acts as an independent contractor. Nothing in these Terms creates an employment, partnership, or joint venture relationship between Foxhead and the client.
12. Force Majeure
Foxhead shall not be liable for failure or delay caused by events beyond reasonable control, including natural disasters, internet outages, government actions, or system failures.
13. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India, without regard to conflict of law principles.
14. Amendments
Foxhead reserves the right to update or modify these Terms at any time. Updated Terms will be effective upon posting on the website or notifying clients.
